R. Clayton McWhorter

Mr. McWhorter serves as Chairman of Clayton Associates, LLC, which he founded in January 1996 to provide venture capital to start-up companies. In 1996 McWhorter also created LifeTrust America, Inc., a developer and operator of assisted living communities, and served as its Chairman until its sale in November 2004.

Stuart C. McWhorter

Mr. McWhorter is Co-Founder and President of Franklin, TN-based Clayton Associates. Founded in 1996, Clayton Associates serves as an investment management company primarily focused on venture capital in the healthcare services industry. Clayton Associates has managed four venture capital funds which have invested over $125 million in over 100 operating companies in the Southeast.

Sam W. Bartholomew

Mr. Bartholomew is a founder and chairman of Stokes & Bartholomew, P.A., which merged with the law firm, Adams and Reese LLP in 2005.

Upon graduation from the United States Military Academy where he was a cadet captain and linebacker on the Army football team, he served as an Airborne Ranger Armored Cavalry officer in Germany, Latin America and Vietnam. Highly decorated, he has continued to be active with West Point and military programs.

Fred C. Goad, Jr.

Since August 2001, he has been a member in Voyent Partners, L.L.C., a private investment company primarily involved in angel investing. Mr. Goad served as Co-Chief Executive Officer of the transaction services division of WebMD Corporation (“WebMD”), a provider of healthcare transaction, information and technology services, from June 2000 through March 2001. From March 1999 through May 2000, Mr. Goad served on the board of directors of Quintiles Transnational Corporation (“Quintiles”) and as Senior Advisor to the Office of the President of the transaction services division of Quintiles.

Aubrey B. Harwell, Jr.

Aubrey B. Harwell Jr. is the managing partner of Nashville law firm Neal and Harwell, where he specializes in crisis management, white-collar criminal defense work, and commercial litigation. Mr. Harwell represents numerous high profile clients including former San Francisco 49ers owner Eddie DeBartolo, Bridgestone/Firestone Corporation, the Tennessee Lottery and WTVF-TV. He is named one of the “Best Lawyers in Tennessee” by Business Tennessee magazine, a mid-South “Super-Lawyer” and selected in Who’s Who Legal (Business Crime) by the International Bar Association, and noted as one of “The Best Lawyers in America” for the past 25 years.

John R. Ingram

John R. Ingram was named Chairman of the Ingram Industries Inc. Board of Directors in April, 2008, having served as Vice Chairman of the Board since 1999. He is also Chairman of Ingram Content Group which includes Ingram Book Company, Lightning Source Inc. and Ingram Digital.

Mr. Ingram is a graduate of Princeton University, where he received his bachelor of arts degree in English in 1984. In 1986 he received his master of business administration degree from the Owen Graduate School of Management at Vanderbilt University.

Harry R. Jacobson, M.D.

Dr. Jacobson is Vice Chancellor, Emeritus at Vanderbilt University. He retired as Vice Chancellor on June 1, 2009; prior to his retirement he functioned as the Chief Executive Officer of the Vanderbilt Medical Center. The Vanderbilt Medical Center includes the Schools of Medicine and Nursing, a distributed healthcare system made up of four hospitals and a network of ambulatory care facilities, and a large faculty group practice. The Medical Center employs almost 20,000 individuals including 1,800 faculty and has an annual budget of $2.8 billion.

Larry McTavish

Larry McTavish has more than 30 years of experience in the software and information services industries. For more than ten years, McTavish was chairman and CEO of Comdata, a publicly-traded provider of information services, financial services and software to the transportation, retail and other industries. Prior to his leadership at Comdata, McTavish was chairman and CEO of Hogan Systems, a provider of enterprise software systems to the banking and financial services industries. John A. Williams

John A. Williams was born and educated in Atlanta. Following graduation from the city’s public school system, he entered the Georgia Institute of Technology where he earned a BS in Industrial Management. Mr. Williams has directed and coordinated the development, construction, and management of real estate developments since 1966. Mr. Williams was the Founder of Post Properties, Inc. Mr. Williams is currently Chief Executive Officer of Williams Realty Advisors, LLC. He also holds interests in various other entities involving the acquisition, development, building, holding, leasing, managing, operating and exchanging of real properties and enterprises.

Robert Yeager

Robert Yeager has over 30 years of experience in healthcare services. Currently, Mr. Yeager serves as CEO of American Pathology Partners. Prior to APP, he was Chairman of Attentus Healthcare Company, an operator of rural acute care hospitals, which he co-founded. Previously, he was President and CEO of OrthoLink Physicians Corporation, one of the largest providers of physician management services for orthopedic and sports-medicine doctors, that was backed by Welsh Carson Anderson & Stowe. OrthoLink was one of the only successful physician practice management companies to grow and survive in a difficult environment.
